TERMS OF SERVICE

Your use of Loole is subject to these Terms of Service (these "Terms"). Thank you for reviewing these Terms – we hope you enjoy using Loole.

" Loole " App and related services refer to the application, including but not limited to live chat and other functions (collectively, the "Service" or “App”). "Terms of Service" (collectively, the "Terms") is the terms between the user (referred to as "you") and us (“we,” or “us”) to download, install, register, log in, use (hereinafter collectively referred to as "use") this product, and obtain related services provided by these terms entered into.

The following Terms of Service outline your obligations when using our mobile application (“App” or “Loole”) or Service (as defined herein), or any of the information, text, graphics, videos, or other files, materials, data or content of any kind whatsoever created or provided by or through the App or the Service or through your ability to sell products on the App and generate User Contributed Content (as defined herein). Please also review our Privacy Policy, which is a part of these Terms of Service and which outlines our practices towards handling any personal information that you may provide to us.

Please read carefully and fully understand the entire contents of the Terms. If you do not agree to these Terms, you may not use Loole and must immediately terminate your use of this software and all services.

Our services are not intended for—and we don’t direct them to—anyone under 18. After you accept the entire contents of the Terms, you can register, log in or use the relevant services covered by the Terms. Your registration, login, use and other behaviors are deemed to be acceptance of the entire contents of the Terms. The needs of this product and related services or operations can be unilaterally decided to arrange or designate its affiliates, controlling companies, successor companies or third-party companies recognized by the company to continue to operate this product. Moreover, some of the services involved in the Terms may be provided to you by affiliates, controlling companies, successor companies or third-party companies recognized by this product. You know and agree to accept the relevant service content, which means that you accept the relevant rights and obligations and are bound by these terms.

ELIGIBILITY

Contracting Entity

By using Loole, you are agreeing to be bound by these Terms between you and us.

Service Eligibility

The services of Loole are not for use by anyone under the age of 18.

To use the services, you agree that: (i) you must be the "Minimum Age" (described below) or older; and (ii) you are not already restricted by us from using the services provided via the App. We may offer additional Services with additional terms that may require you to be even older to use them.

"Minimum Age" means 18 years old. However, if applicable law requires that you must be older in order to lawfully use Loole without parental consent (including using of your personal data) then the Minimum Age is such older age.

If applicable law requires you to obtain the consent from your parent or guardian, then your parent or guardian must agree to these Terms (both for themselves and on your behalf) before you can use Loole.

YOUR ACCOUNT

You will need to create an account with us in order to access and use Loole.

Any account that you open with us is personal to you and you are prohibited from gifting, lending, transferring or otherwise permitting any other person to access or use your account.

You are responsible for any activity that occurs in your account. So it's important that you keep your account secure. One way to do that is to select a strong password that you don't use for any other account.

Your user name and ID and other identifiers you adopt within the App remains our property and we can disable, reclaim and reuse these once your account is terminated or deactivated for whatever reason by either you or us.

You are responsible for: (i) safeguarding your account details, including any password used to access your account, and (ii) all use of the Services under your account. You must promptly notify us at loole.service@gmail.com if you know or suspect that your password or account has been compromised. We will regard all use of your account on Loole as being by you, except where we have received and acknowledged your notification to us regarding your account/password being compromised.

By using the Services, you agree that, in addition to exercising common sense:

You will not create another account if we have already disabled your account, unless you have our written permission to do so.

You will not buy, sell, rent, or lease access to your account without our written permission.

You will not share your password.

You will not log in or attempt to access the Services through unauthorized third-party applications or clients.

You can change or delete personal data, registration information and transmission content on this product account or platform. When you change or delete relevant information, it may also cause the loss of text, pictures, videos, etc. stored in the system. The company is not responsible for the loss of content caused by your own operations.

You should abide by the Terms, use this service correctly and appropriately, and must not disrupt the order of the platform, including but not limited to disrupting the financial order of the platform. If you violate any terms of the Terms or other platform rules, the company has the right to terminate/suspend the provision of all or part of the services to the defaulting user account in accordance with the terms. If any function of the account is terminated/suspended, you cannot participate in any official activities. If the account is permanently banned, the virtual currency in the account will be emptied and no cash withdrawal will be allowed. It should be noted that, for accounts suspected of using unreasonable means to recharge or cash out, the company will temporarily or permanently suspend the account according to its reasonable judgment. At the same time, the company reserves the right to withdraw the account number and user name at any time.

You guarantee that the information provided when registering this product account is true and complete. The legal responsibility arising from illegal, untrue, inaccurate information shall be borne by you. If your registration information changes, you should update the registration information in time to meet the requirements of being timely, detailed, true and accurate.

If your account meets the following conditions at the same time: 1) You have not logged into the product for 12 consecutive months; 2) There is no valid payment service that has not expired. The company has the right to implement clearing measures such as cancellation, recycling, replacement or deletion of any records of the account in the product database (including but not limited to registration information, Virtual Gift information, etc.), so as to avoid waste of resources. Before cleaning such accounts, you will be notified by means including but not limited to pop-up windows, in-site messages, and client-side push information. After cleaning, your account will no longer be able to log in, and the corresponding service will be terminated at the same time.

In the process of using the services provided by this product, if you find any content related to politics, guns, drugs, violence, gambling, or pornography, you can report or complain to the staff of this product. After the company receives reports and complaints, it will send specialists to deal with them in a timely manner. You shall not use this product for any form of money laundering.

YOUR CONTENT

When you submit, upload, transmit or display any data, information, photograph or other content in connection with your use of the App (collectively, “Your Content”), you understand and agree that:

you will continue to own and be responsible for Your Content;
we will not sell Your Content to any third party;
Your Content will be shared with other users of Loole in many ways;
you are giving us the right to use Your Content (with no fees or charges payable by us to you) solely for the purposes of providing, promoting, developing and trying to improve our services, including new services that we may provide in the future;
we may share Your Content with third parties that we work with to help provide, promote, develop and improve our Services, but these third parties will not make any separate use of Your Content for their own purposes (i.e. for any purposes that are not related to Loole);
we may use the name that you submit in connection with Your Content (whether that be your account name or otherwise); and
you will comply with these Terms in your submission of Your Content.

Besides, you are prohibited from posting and agree not to post any prohibited content, including but not limited to:

opposes the basic principles of law;
endangering national security, divulging state secrets, subverting state power, and undermining national unity;
damage to national honor and interests;
inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity;
advocating terrorism and extremism;
inciting regional discrimination and regional hatred;
undermining the state's religious policy and promoting cults and feudal superstitions;
fabricating and spreading rumors, disrupting economic and social order, and undermining social stability;
spreading or spreading obscenity, pornography, gambling, violence, murder, terror or instigating crimes;
insulting or slandering others, infringing upon the legitimate rights and interests of others;
violently intimidating or threatening others, or carrying out human flesh searches;
infringing on the legitimate rights and interests of others such as privacy rights, reputation rights, portrait rights, intellectual property rights, etc.;
distributing commercial advertisements or similar commercial solicitation information, excessive marketing information and junk information;
violating the lawful rights and interests of minors or harming the physical and mental health of minors;
content that contains horror, violence, blood, high risk, and endangers the physical and mental health of the performer or others;
information containing other content prohibited by laws and administrative regulations.

In addition, you agree that we (subject to these Terms, our Privacy Policy and applicable laws and regulations):

may be required to retain or disclose Your Content in order to: (i) comply with applicable laws or regulations; (ii) comply with a court order, subpoena or other legal process; or (iii) respond to a lawful request by a government authority, law enforcement agency or similar body (whether situated in your jurisdiction or elsewhere); and
may need to retain or disclose Your Content in order to enforce these Terms, protect our rights, property or safety, or the rights, property or safety of us or other users of the App.

RESPECTING FOR OTHER PEOPLE'S RIGHTS

We try hard to keep our Services a safe place for all users. But we can't guarantee it. By using the Services, you agree that:

You will not use the Services for any purpose that is illegal or prohibited in these Terms.
You will not use any robot, spider, crawler, scraper, or other automated means or interface to access the Services or extract other user's information.
You will not use or develop any third-party applications that interact with the Services or other users' content or information without our written consent.
You will not use the Services in a way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden, or impair the functioning of the Services.
You will not use or attempt to use another user's account, username, or password without their permission.
You will not solicit login credentials from another user.
You will not post content that contains pornography, graphic violence, threats, hate speech, guns or other weaponry, or incitements to violence.
You will not upload viruses or other malicious code or otherwise compromise the security of the Services.
You will not attempt to circumvent any content-filtering techniques we employ, or attempt to access areas or features of the Services that you are not authorized to access.
You will not probe, scan, or test the vulnerability of our Services or any system or network.
You will not encourage or promote any activity that violates these Terms.

We have the right to investigate and prosecute violations of any of the above, including intellectual property rights infringement and App security issues, to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting Loole users who violate these Terms of Service. You acknowledge that we have the right to monitor your access to or use of the App and/or the Service for operating purposes, to ensure your compliance with these Terms of Service, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

DELETE YOUR ACCOUNT

If you do not want to continue using our services, you can cancel your account at any time. The path is “Me---Security Center---Mobile Phone Authentication---Account Cancellation”.

6. LIVE SERVICES

In consideration of our LIVE Services, you agree that Loole has the right to place advertisements or other types of commercial information, including our logo, in the streaming room.

While using our LIVE Services, you must abide by all applicable laws and regulations, and Loole community guidelines, which may be updated from time to time at our sole discretion.

You may only share information that you are comfortable sharing with the public. You may not distribute via Loole any content that may be considered:

pornographic, obscene, or indecent, or any adult content, including any form of child exploitation.
excessively violent, including any content that is related to death or serious injury.
depicting, encouraging, or assisting suicide or self-harm.
rumors, false or misleading information.
hateful speech or conduct, including any content that promotes racism, terrorism, ageism, or sexism.
profane, blasphemous or any content that may offend people of certain faith, or otherwise related to religion.
related to gambling, abortion, weapon, or other highly explosive subject matter.
abusive, libelous, or otherwise harassing other people or group.
spam, junk mail or other unsolicited advertisement.
other content that in the judgement of Loole are negative contents or otherwise not suitable for distribution.

You may not impersonate any other individual, entity, governmental agency or organizations.

You may not publish or distribute other people's private information without their express authorization and permission.

You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish or distribute any copyrighted or proprietary works. You are solely responsible for obtaining such licenses, rights, consents, and permissions.

You may not publish or link to any malicious code, phishing website or other content that may threaten the security of the Internet.

We have the right to review and monitor your LIVE on the App. We may evaluate your performance and give rewards based on various factors including streaming time, compliant issues, rewarded Virtual Gifts, etc. We have the right to comment and make suggestions about the performance content and you agree to make adjustment accordingly in three days.

If we, at our sole discretion, reasonably believes that you have violated the Terms or the Privacy Policy, we may freeze, suspend, disable, ban or revoke your account. You understand that any Virtual Gift associated with your account will be frozen, suspended, disabled, banned or revoked as well.

If we discover or reasonably suspects that any of your Virtual Gift is acquired in a fraudulent or illegal manner, or is in an abnormal status, we may freeze, suspend, disable, ban or revoke such Virtual Gift.

7. INFRINGEMENT OF RIGHTS

We may respond to notices of alleged infringement of rights (including infringement of intellectual property rights, defamation and infringement of other civil rights) and other claims and demands. If you have any such infringement-related concerns, please contact loole.service@gmail.com.

8. THIRD PARTY SERVICES

If you use a service, feature, or functionality that is operated by a third-party and made available through our Services (including Services we jointly offer with the third-party), each party's terms will govern the respective party's relationship with you.

We are not responsible for and we do not endorse, support or guarantee the lawfulness, accuracy or reliability of any content submitted to, transmitted or displayed by or linked by Loole, including content provided by users of Loole or by our advertisers. You acknowledge and agree that by using Loole, you may be exposed to content which is inaccurate, misleading, defamatory, offensive or unlawful. Any reliance on or use of any content on or accessible from Loole by you is at your own risk.

We also do not guarantee the quality, reliability or suitability of any third party services provided, made available, advertised or linked through Loole and we will bear no responsibility for your use of or relationship with any such third parties or third party services.

We may remove or refuse to make available or link to certain content or third party services if they infringe intellectual property rights, are obscene, defamatory or abusive, violate any rights or pose any risk to the security or performance of Loole.

9. LIMITATION OF LIABILITY

In any case, we shall not be liable for any indirect, consequential, punitive, incidental, special or punitive damages caused by your use of this product, including but not limited to various damages suffered by your use of this product. are not liable for any damages (even if the company has been advised of the possibility of such damages).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you.

10. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, Loole is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the App (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws, international copyright laws, and international conventions.

You may not copy, modify, reverse compile, reverse engineer or extract source codes from Loole, except to the extent that we may not prohibit you from doing so under applicable laws or regulations or you have our prior written consent to do so.

We may from time to time provide updates to Loole. Such updates may occur automatically or manually. Please note that Loole may not operate properly or at all if upgrades or new versions are not installed by you.

11. WARRANTY AND DISCLAIMER

We warrant to you that we will provide Loole using reasonable care and skill.

APART FROM THIS WARRANTY, TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, Loole IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WE MAKE ANY REPRESENTATION OR WARRANTY OR GIVES ANY UNDERTAKING IN RELATION TO Loole OR ANY CONTENT SUBMITTED, TRANSMITTED OR DISPLAYED BY Loole, INCLUDING: (I) ANY REPRESENTATION, WARRANTY OR UNDERTAKING THAT Loole WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE OR FREE FROM VIRUSES; (II) THAT Loole WILL BE COMPATIBLE WITH YOUR DEVICE; OR (III) THAT Loole WILL BE OF MERCHANTABLE QUALITY, FIT FOR A PARTICULAR PURPOSE OR NOT INFRINGE THE INTELLECTUAL PROPERTY RIGHTS OF ANY PERSON. TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, YOU WAIVE ANY AND ALL IMPLIED REPRESENTATIONS, WARRANTIES AND UNDERTAKINGS.

12. TERM AND TERMINATION

These Terms shall remain in full force and effect while you use the App. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your information, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

13. GOVERNING LAW

These Terms shall be governed by and defined following the laws of Hong Kong.

14. DISPUTE RESOLUTION

You agree to irrevocably resolve all disputes related to Terms or the relationship established by this Agreement by arbitration, seated in Hong Kong, and the arbitration institution is the Hong Kong International Arbitration Center.

15. CORRECTIONS

There may be information on the App that contains typo errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the App at any time, without prior notice.

16. MISCELLANEOUS

These Terms and any policies or operating rules posted by us on the App or in respect to the App constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. These Terms of Service operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms or use of the App. You agree that these Terms of Service will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms of Service.

18. ENTIRE AGREEMENT

This Agreement, which includes the Terms of Service, Privacy Policy, Safety Tips and the Community Rules (if any), and any terms disclosed and agreed to by you if you purchase additional features, products or services we offer on the Service, contains the entire agreement between you and Loole regarding the use of the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
